A Firm of Many Strengths
Given its roots in the Big Apple, it isn’t surprising that Morrison Cohen is highly regarded for its corporate work. When it comes to M&A, the firm has experience advising investment and merchant banks, lenders, private equity firms, and public and private strategic buyers and sellers, among other clients. Through its Private Investment Fund practice, the firm is experienced in setting up and winding down funds, advising on regulatory issues, handling compensation for fund principals and employees, and many other areas. Another strong point for the firm is its work in venture capital and private equity. Notably, the firm has experience representing both companies and investors in this area, giving it a more holistic understanding of the transactions. Morrison Cohen is also known for its labor and employment prowess. The firm counsels businesses of all types, focusing not only the complex scheme of federal, state, and local laws and regulations governing the workplace, but on a client’s business and operational objectives like preventative measures, training, and representation in formal proceedings and before administrative agencies. The firm is also one of the few that represents both companies, from start-ups to mature organizations, and individuals, including senior executive and C-suite members, in virtually all aspects of the employment relationship. The firm designs and implements incentive compensation plans; employment, separation and restrictive covenant agreements; and employee stock ownership plans (ESOPs) and is frequently called upon to provide tax, ERISA, securities, and governance advice.
The firm also boasts a strong Business Litigation practice. Matters are staffed strategically with experienced litigators who work in a range of areas, including alternative dispute resolution, appellate, financial services, health care, IP, insurance, labor and employment, real estate, securities, and white collar—to name some. The firm’s Strategic Case Review attorneys provide a non-biased review of such areas as case strategy, briefs, and motions, as well as the opportunity to moot a case.
