A Worldwide Firm with Midwest Roots

Founded in Cleveland, OH, over 130 years ago, Jones Day’s growth initially mirrored the early progress of industrial sectors across the United States. As the economy grew and diversified, the firm did likewise, advising on high-profile matters in manufacturing, banking, transportation, and mass communications that were often landmark in nature, and always placed the client’s interests first. Jones Day was one of the first firms in the nation to adopt a corporate management structure. NOTABLE CASES
  • Represented BofA Securities, Inc., as representative of the underwriters, in connection with a $2.5 billion public offering of Senior Notes by PepsiCo, Inc., consisting of $1 billion of floating rate notes due in 2024, $800 million of 5.250% senior notes due in 2025, and $700 million of 5.125% senior notes due in 2026.
  • Jones Day represented Monster Beverage Corporation in connection with a series of transactions involving The Coca-Cola Company for a long-term commercial relationship in which Coke transferred its global energy drink business to Monster, Monster transferred its non-energy business and 16.7% of its common stock to Coke, the parties realigned their global distribution relationship, and Coca-Cola made a net cash payment of $2.15 billion to Monster.
  • Jones Day represented Hard Rock International on the acquisition of The Mirage Las Vegas Hotel and Casino in Las Vegas from MGM Resorts International. Hard Rock paid $1.075 billion in cash for the operating assets of The Mirage Hotel and Casino.
  • Jones Day served as lead restructuring counsel to the City of Detroit in connection with its Chapter 9 bankruptcy case and its ongoing restructuring efforts in what is considered the largest and most complex municipal bankruptcy case in U.S. history.
